Special Committees & Conflicts

Our attorneys have significant experience working with related party or other conflict of interest transactions.  The combination of our experience in complex transactions and our small size positions us well for limited assignments representing special committees, founders, investors, management or others where a conflict of interest exists.

Our attorneys have advised special committees with investigations, related party, or other conflict transactions as well as management in their negotiations with a company upon arrival, departure and in the context of a change of control transaction.   We have also worked with investors as they seek to enhance the board, change management, or recapitalize a portfolio company.

When doing so, we seek to work with the in-house legal team or regular company counsel in a manner that is designed to ensure that appropriate advice is given, free of conflict, but without duplicating and substantially augmenting the size of representation so as to remain within budget parameters.
