Founded over fifteen years ago, Woodside Counsel is a boutique law firm that provides corporate legal services to public and private companies and the investors and professionals who work with them. Our mission is to provide quality service to a select and limited number of clients of all sizes seeking timely and cost-effective corporate legal advice without the more cumbersome bureaucracy and expense of a large, traditional law firm.
We were founded on the premise that business transactions require aggressive advocacy, but that running a successful business necessitates cooperation and compromise. Our goal is to aggressively represent clients in the spirit of mutual cooperation and trust, recognizing that these principles expedite transaction resolution, limit expense and foster success.
With over twenty years of experience in a variety of fields and transactions, we help our clients maximize their upside while assessing potential exposure and acceptable levels of risk. We negotiate on behalf of our clients with a view to minimizing legal involvement and expediting resolution, particularly with respect to the increasing number of issues that are highly technical but may have little economic or business importance. In doing so, we seek to prepare documents and to draft language that is simple and concise to the greatest extent possible.
With extensive experience in technology and healthcare, we are available to represent a broad array of clients. We seek to understand and integrate ourselves with an understanding of a client’s business while recognizing that we are not running a business; we are representing it as counsel.
For private companies, our available services include incorporation, finance, mergers & acquisitions, as well as employment and equity compensation, licensing, partnering and dissolution. For public companies, these services also include advice under the Securities Act, the Exchange Act and other laws, as well as representation of management, selling security holders, or special committees where an actual or apparent conflict with regular company counsel may make independent counsel appropriate. We do so on a cooperative basis, seeking to avoid wasted time and undue expense whenever possible.
